Job Description

Legal support in relation to CNH  business  in Russian Federation  area:

• drafting and management of distributorship agreements (from appointments to terminations);
• drafting of service agreements, commission agreements, confidentiality agreements, OEM supply agreements, license agreements, Memorandum of Understandings, Power of Attorneys etc ;
• assisting  Trade finance Department with all matters related to guarantees and  debt recovery, assisting the relation with COFACE  and financing vendors programs;
• management of litigations and insolvency procedures through coordination of locally appointed external advisors if necessary;
• assisting  HR department with HR matters through coordination of locally appointed external advisors if necessary;
• assisting Dealer Development department with all legal-commercial issues, constantly monitoring the network contractual structure;
• assisting Parts & Service with all legal issues related to the Russian Federation areas;
• participating to tenders, preparing all requested certificates, authorizations, assisting for  legalizations, notarizations; assisting tender coordinator.
• managing daily supply agreements with all distributors, spot customer in the Russian Federation area;  
• supervising, coordinating  tasks spreads through different department assistants (execution of contract, mailing, etc);
• coordinating  and supervising s data entry  to CNH online libraries  for all distributor agreements, supply agreements, commission and service agreements;
• implement, explain or clarify internal procedure  rules, standard agreements to our internal customers (commercial , trade finance, logistic, network development, after-sale, parts)
• advising  CNH employees about and provide training on legal issues;
• supervising and assisting outside counsel on major litigation;
• working  with representatives from various departments (i.e. finance) on implementing, developing and modifying practices and procedures to conform to legal requirements and company policies;
• conferring, assisting and supporting International Region and Rest of Europe General Counsel on special projects in Russian Federation;
• managing corporate governance matters;
• supporting and coordinating with other departments (Network Development, Business Development, Finance, Trade Finance) on  companies projects as from time to time needed;    
• liaising and conferring with colleagues competent for other areas of  International Region;
• monitoring legislative developments in the Russian Federation and summarizing and informing applicable CNH personnel of such developments.

Legal support in relation to intercompany relationships between the Companies and  CNH International SA, headquartered in Lugano, Switzerland, and CNH Services S.r.l., headquartered in Modena, Italy:
 

• Drafting and managing  intercompany agreements (e.g. servicing agreements);
• Legal support in relation to:

- the Companies to the purpose of assembling, organizing  and producing  legal and other corporate documents  for Auditors, either internal or external;
- compliance activities.

Desired Skills & Experience

•Experience of minimum 5 years in international environment
•Fluent in English. Italian would be preferred;
•High integrity and transparency
